1. Introduction
Welcome to Hum! These Terms and Conditions ("Terms") govern your access to and use of the Hum meditation and wellness application ("App"), developed and operated by Satori Apps, LLC ("we," "our," or "us"). By downloading, accessing, or using Hum, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our App.
Hum is a personalized meditation and wellness application designed to support your mental wellness journey through guided meditations, breathing exercises, and mindfulness practices.
2. Eligibility
You must be at least 18 years old to use Hum. By using our App, you represent and warrant that you meet this eligibility requirement. If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Your Account
3.1 Account Creation
To access certain features of Hum, you may need to create an account. When creating an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to notify us immediately of any unauthorized use of your account or any security breach. We are not liable for any loss or damage arising from your failure to protect your account information.
3.3 User Profile and Personalization
Hum allows you to create a personalized experience by uploading photos and providing personal information. You retain ownership of any content you upload, but grant us a license to use it as described in Section 6.
4. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use Hum. By using our App, you agree that we may use your data in accordance with our Privacy Policy.
5. License and Restrictions
5.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use Hum on your personal devices for your personal, non-commercial use.
5.2 Restrictions
You may not:
- Copy, modify, or create derivative works of the App or its content
- Reverse engineer, decompile, or disassemble the App
- Remove any copyright, trademark, or proprietary notices
- Transfer, sublicense, or distribute the App to third parties
- Use the App for any illegal purpose or in violation of any laws
- Exploit the App for commercial purposes without our consent
- Use automated scripts to collect information from the App
- Attempt unauthorized access to any portion of the App or related systems
- Interfere with or disrupt the App's functionality
6. User Content
6.1 Your Content
You may upload, submit, or store content in Hum, including photos, personal information, and meditation preferences ("User Content"). You retain ownership of your User Content, but you grant us certain rights as described below.
6.2 License to User Content
By providing User Content through Hum, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your User Content solely for the purpose of operating and improving Hum, providing personalized meditation experiences, and delivering our services to you.
6.3 Content Responsibilities
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not infringe any third-party rights
- Your User Content complies with all applicable laws
- Your User Content does not contain viruses or malicious code
7. Meditation and Wellness Disclaimer
7.1 Not Medical Advice
Important: Hum is designed for wellness and relaxation purposes only. The meditation sessions, breathing exercises, and other content provided through Hum are not intended to diagnose, treat, cure, or prevent any medical condition or mental health disorder. They are not a substitute for professional medical advice, diagnosis, or treatment.
7.2 Consult Healthcare Professionals
Always seek the advice of your physician, mental health professional, or other qualified healthcare provider with any questions you may have regarding a medical or mental health condition. Never disregard professional medical advice or delay seeking it because of something you have experienced through Hum.
7.3 Emergency Situations
If you are experiencing a medical or mental health emergency, immediately call your local emergency services or go to the nearest emergency room. Hum is not designed for crisis intervention or emergency situations.
8. Subscriptions and Payments
8.1 Free and Premium Features
Hum offers both free and premium features. The specific features available in each tier, along with current pricing, are displayed within the App before any purchase. Features and pricing may vary and are subject to change.
8.2 Subscription Terms
Premium features may be offered through various subscription options. By subscribing, you authorize us to charge the applicable recurring fee to your chosen payment method. Subscription terms, including duration and pricing, are presented in the App before purchase.
8.3 Free Trials
We may offer free trial periods for premium features. The duration and terms of any free trial are specified in the App. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged the applicable fee.
8.4 Auto-Renewal
Subscriptions automatically renew unless you turn off auto-renewal at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
8.5 Managing Subscriptions
You can manage your subscription and turn off auto-renewal through your device's app store settings:
- iOS: Settings > [Your Name] > Subscriptions
- Android: Google Play Store > Menu > Subscriptions
8.6 Refunds
All purchases are final and non-refundable, except as required by applicable law or the app store's policies. Subscription fees are non-refundable, and we do not provide refunds or credits for partial subscription periods.
9. Third-Party Services
Hum may integrate with third-party services, such as health platforms or cloud storage providers. Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, functionality, or practices of third-party services.
10. Intellectual Property
10.1 Our Property
Hum and all its content, features, and functionality (excluding User Content) are owned by Satori Apps, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our express written permission.
10.2 Feedback
If you provide us with feedback, suggestions, or ideas about Hum, you grant us the right to use such feedback without compensation or attribution to you.
11. Termination
11.1 Your Right to Terminate
You may stop using Hum and delete your account at any time. Deleting your account will not automatically cancel any active subscriptions; you must cancel subscriptions separately through your app store.
11.2 Our Right to Terminate
We may terminate or suspend your access to Hum, without prior notice, for any reason, including if we believe you have violated these Terms or engaged in conduct harmful to other users or us.
11.3 Effect of Termination
Upon termination, your right to use Hum will cease immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.
12. Disclaimers
HUMB IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT HUM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF HUM IS AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SATORI APPS, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF HUM.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF HUM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify, defend, and hold harmless Satori Apps, LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your use or misuse of Hum
- Your User Content
- Your violation of any third-party rights
15. Governing Law and Disputes
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15.2 Informal Resolution
If you have a dispute with us, please first contact us at support@satoriapplications.com and attempt to resolve the dispute informally.
15.3 Arbitration
If we cannot resolve a dispute informally, you and we agree to resolve any disputes through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except as provided herein.
15.4 Class Action Waiver
YOU AND WE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
16. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date and notify you through the App or via email for material changes. Your continued use of Hum after changes constitutes acceptance of the updated Terms.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of Hum.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
